The terms governing quotations, orders, payment, quality, and shipment for export trade with us.

1. Scope
These Terms of Trade govern all quotations, order confirmations, and sales of goods by VKRUND ENTERPRISE unless a separate written contract signed by both parties states otherwise. Placing an order constitutes acceptance of these terms.
2. Quotations & Orders
Prices, specifications, and availability quoted are valid for the period stated in the quotation and are subject to confirmation at the time of order. An order becomes binding only when we issue a written Proforma Invoice or Order Confirmation and the agreed advance (where applicable) is received.
3. Prices & Incoterms
Unless stated otherwise, prices are quoted in USD on FOB, CIF, or DAP terms per Incoterms® 2020, as specified in the quotation. Duties, import taxes, and clearance charges at the destination are the buyer’s responsibility unless expressly agreed.
4. Payment
Payment terms are as stated on the Proforma Invoice — typically an advance against order with the balance against shipping documents, or an irrevocable Letter of Credit at sight from a reputable bank. Title to the goods passes to the buyer only upon receipt of full payment.
5. Quality, Inspection & Documentation
Goods are supplied to the agreed specification and accompanied by the documentation pack for the order — which may include Commercial Invoice, Packing List, Certificate of Origin, Certificate of Analysis, Phytosanitary Certificate, and Bill of Lading. The buyer may arrange pre-shipment inspection at their cost. Any quality claim must be raised in writing, with supporting evidence, within the period stated on the order confirmation.
6. Shipment & Delivery
Delivery timelines are estimates given in good faith and run from order confirmation and receipt of advance. We are not liable for delays caused by events beyond our reasonable control. Full shipping and delivery details are set out in our Shipping Policy.
7. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, weather, port congestion, strikes, war, government action, changes in export/import regulation, or disruption to logistics.
8. Limitation of Liability
Our liability for any claim is limited to the invoice value of the goods concerned. We are not liable for indirect, incidental, or consequential losses.
9. Governing Law & Jurisdiction
These terms are governed by the laws of India. The courts at Ahmedabad, Gujarat shall have jurisdiction, subject to any arbitration agreed in writing between the parties.
